Terms of Service

Please read these Terms of Service carefully. They set out the rules for using our website and engaging our managed IT services.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website, products, and managed IT services (collectively, the "Services") provided by Intelligent Automation Services LLC ("IAS," "we," "us," or "our"). By accessing our website, requesting an assessment, or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Services Provided

IAS provides managed IT services which may include 24/7 monitoring, patch management, automated remediation, remote and on-site support, security services, and data backup and recovery. The specific scope, deliverables, and service levels applicable to you are defined in the order, proposal, or service agreement you enter into with us.

We may modify, enhance, or discontinue features of the Services from time to time. Where a change materially reduces a contracted service, we will provide reasonable notice.

3. Pricing and Payment

Plans start at $80/month, which includes coverage for one (1) device. Each additional device is $80/month. The onboarding fee is waived for two devices or less; each additional device carries a one-time onboarding fee of $100, due when services begin.

  • Recurring fees are billed monthly in advance unless otherwise stated in your service agreement.
  • Services are month-to-month with no long-term contract unless separately agreed in writing.
  • Late or failed payments may result in suspension of Services after reasonable notice.
  • All fees are exclusive of applicable taxes, which are your responsibility.

4. Your Responsibilities

To deliver the Services effectively, we rely on your cooperation. You agree to:

  • Provide accurate account, device, and contact information and keep it current.
  • Maintain the rights and licenses necessary for us to manage your systems and software.
  • Grant reasonable access to devices, networks, and personnel needed to perform the Services.
  • Use the Services lawfully and not interfere with or compromise their security or integrity.

5. Acceptable Use

You may not use the Services to violate any law, infringe intellectual property rights, transmit malicious code, attempt unauthorized access to systems, or otherwise engage in activity that harms IAS, our other clients, or third parties. We may suspend Services to address a security threat or a violation of these Terms.

6. Service Levels and Availability

We strive to deliver responsive, reliable support. Any specific response times, uptime commitments, or remedies are those set out in your service agreement. The website and certain automated tools may occasionally be unavailable for maintenance or due to events beyond our reasonable control.

7. Intellectual Property

The website, our software, documentation, branding, and related materials are owned by IAS or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use them solely in connection with the Services. You retain ownership of your own data and content.

8. Confidentiality

Each party may receive confidential information of the other. Both parties agree to protect such information, use it only to perform under these Terms, and not disclose it except as required by law or to advisers bound by confidentiality.

9. Disclaimers

Except as expressly stated in a written agreement, the Services and website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the fullest extent permitted by law, IAS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.

11. Termination

Either party may terminate month-to-month Services with reasonable written notice as described in your service agreement. We may suspend or terminate Services immediately for non-payment, material breach, or security risk. Upon termination, your right to use the Services ends, and we will make commercially reasonable efforts to assist with an orderly transition of your data.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in California for any dispute not subject to a separate dispute-resolution provision in your service agreement.
